Terms of Service

Preamble

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and Waslat Al-Khadamat Al-Mumayaza Company — LLC (شركة وصلة الخدمات المميزة — شركة ذات مسؤولية محدودة), hereinafter referred to as "WaslaCo" or the "Company". By accessing or using any WaslaCo platform — including WaslaWork, WaslaCare, myWaslaCare, WaslaStore, and WaslaJobs (collectively, the "Platform") — you agree to be bound by these Terms.

These Terms are governed by the laws of the Kingdom of Saudi Arabia, including the E-Commerce Law (Royal Decree No. M/126, dated 7/11/1440H), the Personal Data Protection Law ("PDPL"), the Anti-Concealment Law, the Commercial Court Law, and all implementing regulations.

If you do not agree to these Terms, you must immediately cease all use of the Platform.

Article 1 — Definitions

1.1 "Platform": The digital marketplace operated by WaslaCo, encompassing WaslaWork (professional services), WaslaCare & myWaslaCare (unit and on-site services), WaslaStore (e-commerce aggregator), and WaslaJobs (recruitment), accessible via websites, mobile apps, and APIs.

1.2 "User": Any natural or legal person who accesses, registers on, or transacts through the Platform as a Customer, Provider, Service Provider, Employer, or Job Seeker.

1.3 "Customer": A User who purchases goods or services through the Platform.

1.4 "Provider" / "Service Provider": A User who offers goods, services, or labor through the Platform.

1.5 "Content": All text, images, videos, listings, profiles, reviews, ratings, and communications uploaded through the Platform.

1.6 "Transaction": Any purchase, booking, engagement, or hiring action completed through the Platform.

1.7 "Applicable Laws": The laws, regulations, and directives of KSA, including those issued by MoC, CST, SDAIA, and ZATCA.

Article 2 — Eligibility and Registration

2.1 You must be at least eighteen (18) years old to register. Minors may use the Platform only under direct supervision of a parent or legal guardian bound by these Terms.

2.2 By registering, you represent that: (a) all information is accurate, current, and complete; (b) you will maintain and update it; (c) you have legal capacity; and (d) your use does not violate Applicable Laws.

2.3 WaslaCo may refuse, suspend, or terminate any account at its sole discretion without prior notice if information is inaccurate, misleading, or in violation of these Terms.

2.4 You are solely responsible for maintaining account credential confidentiality. Notify WaslaCo immediately of any unauthorized use. WaslaCo is not liable for losses from failure to safeguard credentials.

2.5 Providers may require additional verification: valid CR, professional licenses, and identity verification (Absher/NIC).

Article 3 — Platform Services and Scope

3.1 WaslaCo operates as an intermediary facilitating connections between Customers and Providers. WaslaCo is not a party to the underlying transaction unless explicitly stated.

3.2 Services: (a) WaslaWork — professional services marketplace; (b) WaslaCare — unit and on-site services; (c) myWaslaCare — a B2B platform for Facilities Management companies to manage service delivery within managed premises (governed separately by the Premise Occupant Terms); (d) WaslaStore — e-commerce price comparison aggregator; (e) WaslaJobs — recruitment and job matching.

3.3 WaslaCo may modify, suspend, or discontinue any part of the Platform at any time, with reasonable notice where practicable.

Article 4 — User Obligations

4.1 Users shall comply with all Applicable Laws and these Terms at all times.

4.2 Users shall not: (a) use the Platform for unlawful or fraudulent purposes; (b) impersonate any person or entity; (c) upload harmful, defamatory, or obscene Content; (d) interfere with Platform infrastructure; (e) attempt unauthorized access to systems or data; (f) circumvent the fee structure; (g) engage in fake reviews or deceptive practices; or (h) violate intellectual property rights.

4.3 Providers shall: (a) provide accurate descriptions; (b) fulfill orders within agreed timelines; (c) maintain required licenses; (d) comply with Saudi consumer protection regulations; and (e) respond to Customer inquiries timely.

Article 5 — Fees, Payments, and Commissions

5.1 Registration is free for Customers. Providers may be subject to commission, subscription, or listing fees per the Payment Terms and Commission Schedule (separate document incorporated by reference).

5.2 All prices are in Saudi Riyals (SAR) and include VAT at the ZATCA-prescribed rate, unless otherwise stated.

5.3 Payments are processed via approved payment service providers. WaslaCo may hold funds in escrow (particularly for WaslaWork) until service delivery is confirmed.

5.4 WaslaCo issues electronic invoices compliant with ZATCA's FATOORAH e-invoicing regulations.

5.5 Refunds and cancellations are governed by the Cancellation and Refund Policy and the E-Commerce Law.

Article 6 — Intellectual Property

6.1 All IP rights in the Platform (trademarks, logos, software, designs, text, graphics) are WaslaCo's exclusive property or its licensors'.

6.2 Users retain ownership of their uploaded Content but grant WaslaCo a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, display, and distribute such Content solely for operating and promoting the Platform.

6.3 Users shall not reproduce, distribute, or create derivative works from WaslaCo IP without prior written consent.

6.4 WaslaCo responds to notices of alleged IP infringement per the IP Policy and Content Takedown Procedure.

Article 7 — Limitation of Liability

7.1 The Platform is provided "as is" and "as available". WaslaCo makes no warranties, express or implied, regarding availability, accuracy, reliability, or fitness for purpose.

7.2 WaslaCo is not liable for: (a) quality, safety, legality, or delivery of Provider-provided goods/services; (b) disputes between Users; (c) indirect, incidental, consequential, or punitive damages; or (d) loss of data, revenue, or profits.

7.3 Maximum aggregate liability shall not exceed the total fees paid by the User to WaslaCo in the twelve (12) months preceding the claim.

7.4 Nothing excludes liability for fraud, willful misconduct, or liability that cannot be excluded under Applicable Laws.

Article 8 — Indemnification

You agree to indemnify, defend, and hold harmless WaslaCo, its officers, directors, employees, agents, and affiliates from all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of Applicable Laws; or (d) your Content or Transactions.

Article 9 — Suspension and Termination

9.1 WaslaCo may suspend or terminate access without prior notice if: (a) you breach these Terms; (b) required by law or regulatory order; (c) your account is inactive for 12+ months; or (d) your account poses a security risk.

9.2 You may terminate your account at any time via WaslaCo support. Termination does not release you from prior obligations including outstanding payments or pending Transactions.

9.3 Upon termination, WaslaCo may retain data as required by Applicable Laws and the Privacy Policy.

Article 10 — Governing Law and Dispute Resolution

10.1 These Terms are governed by the laws of the Kingdom of Saudi Arabia.

10.2 Disputes shall first be resolved through good-faith negotiation for thirty (30) days.

10.3 Unresolved disputes shall be submitted to the competent courts in Jeddah, KSA, which have exclusive jurisdiction.

10.4 For e-commerce disputes, Users may file complaints through the Ministry of Commerce consumer protection channels under the E-Commerce Law.

Article 11 — Intellectual Property and Content Takedown

11.1 All Platform content, software, design, logos, and trademarks are the property of WaslaCo or its licensors. Users retain ownership of content they upload but grant WaslaCo a non-exclusive license to display it on the Platform.

11.2 Users must not upload, post, or transmit content that infringes the intellectual property rights of any third party, including copyrights, trademarks, patents, or trade secrets.

11.3 If you believe content on the Platform infringes your intellectual property rights, you may submit a takedown request to WaslaCo's designated IP contact published on the Platform, providing: (a) identification of the copyrighted work or trademark; (b) identification of the infringing content with URL; (c) your contact information; (d) a statement of good-faith belief; (e) a statement under penalty of perjury that you are authorized to act on behalf of the rights holder.

11.4 Upon receipt of a valid takedown request, WaslaCo will: (a) acknowledge receipt within 48 hours; (b) review for completeness; (c) remove or disable the infringing content within 72 hours if valid; (d) notify the content poster.

11.5 The content poster may submit a counter-notice within 10 business days. If no legal action is filed by the complainant within 14 days of the counter-notice, WaslaCo may restore the content.

11.6 Repeat infringers are subject to account suspension or termination per the enforcement tiers in Article 9.

11.7 Filing a false or misleading takedown request may result in legal liability under KSA law and account suspension.

Article 12 — Amendments

12.1 WaslaCo may amend these Terms at any time. Amendments take effect upon posting with a revised "Last Updated" date.

12.2 Material changes require at least fifteen (15) days' prior notice via email or in-app notification.

12.3 Continued use after the effective date constitutes acceptance. If you disagree, cease use and request account termination.

Article 13 — General Provisions

13.1 Severability: If any provision is found invalid or unenforceable, the remaining provisions continue in full force.

13.2 Waiver: No failure or delay by WaslaCo in exercising any right constitutes a waiver of that right.

13.3 Entire Agreement: These Terms, with the Privacy Policy, Cookie Policy, and all referenced policies, constitute the entire agreement.

13.4 Assignment: WaslaCo may assign these Terms to any affiliate or successor without consent. You may not assign your rights.

13.5 Language: These Terms are published in English and Arabic. In case of conflict, the Arabic version prevails to the extent required by Applicable Laws.
